Elite Safe Ride LLC, operating as Sylver, a transportation network company
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Passenger", "User", or "You") and Elite Safe Ride LLC, a limited liability company organized under the laws of the State of Florida, operating under the trading name Sylver ("Sylver", "Company", "We", "Us", or "Our"). Elite Safe Ride LLC remains the contracting party; Sylver and Sylverway are the names under which it trades, including the Sylver passenger app and the website at sylverway.com.
By accessing our website, booking platform, passenger web application, or by boarding any vehicle provided by the Company, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies, guidelines, or rules referenced herein, all of which are incorporated by reference.
If you are booking on behalf of a third party, a corporate account, or a group, you represent and warrant that you have the authority to bind all such parties to these Terms.
If you do not agree to these Terms, you must immediately cease use of our Services and may not request a ride or board any vehicle arranged through the Sylver platform.
Sylver is a transportation network company (“TNC”) within the meaning of section 627.748, Florida Statutes. We operate a digital network that connects riders with independent drivers, who provide prearranged rides in vehicles they own, lease, or are otherwise authorized to use.
We do not own the vehicles, employ the drivers, or provide the transportation ourselves. The transportation is provided by the driver. Sylver’s role is to operate the platform that connects you, to set service standards, to screen drivers, and to process payment. Nothing in these Terms makes Sylver a common carrier, and no statement on our website, in our app, or in any communication should be read as an offer by Sylver to transport you directly.
Drivers on the Sylver platform are independent contractors and are not employees, agents, partners, or joint venturers of Elite Safe Ride LLC. Consistent with section 627.748(9), Florida Statutes: we do not unilaterally prescribe the hours during which a driver must be logged on to our network; we do not prohibit a driver from using the digital networks of other transportation network companies; and we do not restrict a driver from engaging in any other occupation or business. Each driver agrees to this status in writing before being authorized to accept rides.
You must be at least 18 years of age to create a Sylver account, request a ride, or hold a payment method with us. By creating an account you represent that you are 18 or older and legally able to enter into a binding contract. We may suspend or close any account we reasonably believe belongs to a person under 18. This eligibility requirement applies to the account holder; the separate rules for minors travelling as passengers are in Section 8.4.
Elite Safe Ride LLC, trading as Sylver, operates a transportation network connecting riders with independent drivers throughout South Florida, including Miami-Dade, Broward, and Palm Beach counties. Every ride is prearranged through the Sylver app or website. Drivers on our platform may not solicit or accept street hails, and may not accept a ride for compensation other than one arranged through our digital network, as required by section 627.748(13), Florida Statutes. We are not a taxicab, jitney, or for-hire vehicle operator.
Rides are offered in four vehicle classes. You select the class when you book, and the passenger and luggage capacities shown at that moment are the binding figures for your reservation:
Stated passenger and luggage figures are vehicle capacities and cannot be exceeded. Where a class carries its maximum passengers with the rear row in use, available luggage space is correspondingly reduced; if you need both at once, tell us when booking and we will confirm the appropriate class.
Vehicles on the Sylver platform are owned, leased, or otherwise authorized for use by the driver, and are not owned or maintained by Elite Safe Ride LLC. Before a driver may accept rides, we require proof of a valid driver license, current vehicle registration, and insurance meeting Florida’s requirements, and we inspect the vehicle against the standards for the class it will serve. Vehicle make, model, and year vary by driver and are subject to availability; the specific vehicle and its license plate are shown to you in the app before your ride begins.
Services are primarily available within South Florida. Out-of-area or long-distance transportation may be arranged at the Company's discretion and is quoted individually before you book. Contact us in advance to confirm availability for destinations outside our standard service area.
We operate 24 hours a day, 7 days a week, 365 days a year, subject to driver availability and advance booking requirements. Pricing for a given pickup time is always shown to you before you confirm.
All rides must be reserved in advance through our official website, passenger web application, or authorized booking channels. Walk-up or on-demand bookings are not accepted. A minimum advance notice of two (2) hours is required for standard bookings. Requests with less notice may be accommodated at our discretion and may incur a short-notice fee.
You must provide accurate, complete, and current information when booking, including your full name, valid contact number, pickup address, destination address, requested date and time, number of passengers, and any special requirements. The Company is not responsible for service failures, delays, or errors caused by inaccurate or incomplete booking information.
A booking is only confirmed upon receipt of a written confirmation (email or in-app notification) from Elite Safe Ride LLC. Verbal confirmations do not constitute a binding reservation. You are responsible for ensuring that confirmation details — including date, time, pickup address, and vehicle type — are accurate. Any discrepancies must be reported within 24 hours of receiving the confirmation.
For airport pickups, we strongly recommend providing your airline, flight number, and arrival terminal. While we monitor flight status to account for delays, we are not liable for missed connections due to flight cancellations, gate changes, extreme delays, or force majeure events. Complimentary wait time for flight-linked arrivals begins at the confirmed adjusted arrival time, not the original scheduled time.
Special requests — including child safety seats, accessibility accommodations, additional luggage space, pet transport, or specific vehicle preferences — must be communicated at the time of booking. We will make reasonable efforts to accommodate special requests but cannot guarantee fulfillment in all cases. Additional fees may apply.
The fare shown to you when you book is all-inclusive and is the amount you will be charged, subject only to the limited exceptions listed in 4.3. It already accounts for the routed distance of your itinerary, the vehicle class you select, any demand pricing in effect, and card processing costs. We do not add tolls, parking, fuel, airport, after-hours, or holiday charges after your trip, and we do not re-meter the fare on completion.
Your quoted fare is calculated from the routed distance of your itinerary (including any stops added at the time of booking), the vehicle class you select, and any demand pricing applicable to your pickup time. Card processing costs are already contained in the figure you are shown. Applicable taxes and regulatory fees, where any apply, are likewise included rather than added afterwards.
Only the following can result in a charge different from the fare quoted to you:
Long-distance and out-of-area journeys are quoted individually before booking. Where we cannot serve a destination at the quoted price, we will tell you before you confirm rather than adjust the fare afterwards.
Each reservation includes a complimentary wait time allowance:
We do not bill wait time by the minute. Once the complimentary period has elapsed, and after reasonable attempts to contact you, your driver may depart; the late-cancellation or no-show fee described in Section 6 then applies. Your driver will always attempt to reach you before leaving.
Gratuity is not included in the base fare and is entirely at the passenger's discretion. Tips are paid in full to the driver and are not retained by the Company. We do encourage reasonable gratuity for exceptional service.
The Company reserves the right to modify pricing at any time. Changes will not apply to confirmed bookings unless the scope of service changes materially.
A valid credit or debit card is required at the time of booking. We accept major credit and debit cards (Visa, Mastercard, American Express, and Discover). We do not currently accept Apple Pay, Google Pay, or other digital wallets, because a reservation requires a payment method that can be securely stored and charged after your trip. Your card is saved securely at the time of booking; no charge is applied at that stage.
By submitting payment information, you authorize Elite Safe Ride LLC to charge your selected payment method for the full amount of the quoted fare, any gratuity you elect to add, and any charge permitted by 4.3. A pre-authorization hold for the fare is placed on your card approximately 24 hours before the scheduled pickup. The final amount, including any gratuity you elect to add, is captured upon trip completion.
Corporate clients with approved billing accounts may be invoiced on a net-15 or net-30 basis as agreed in writing. Late payments may be subject to a 1.5% monthly finance charge. The Company reserves the right to suspend service for accounts with outstanding balances.
In the event of a failed or declined payment, the Company reserves the right to withhold service until payment is resolved. You are responsible for all costs associated with collecting outstanding balances, including reasonable attorneys' fees.
Any disputes regarding charges must be submitted in writing to the Company within seven (7) days of the charge date. Chargebacks initiated without first contacting the Company may result in account suspension and may be contested.
Cancellations, changes, and no-shows are governed by our Cancellation & Refund Policy, which is incorporated into these Terms by reference. In summary:
Your payment card is saved securely at the time of booking. No charge is applied at the time of booking. Your card is automatically authorized approximately 24 hours before your scheduled pickup. By completing a booking, you acknowledge and agree to this payment schedule.
Rescheduling requests may be submitted at any time prior to the driver's departure. A change to the time, date, or address requested more than 1 hour before pickup is made free of charge, subject to availability. A change that materially alters the trip distance, duration, or number of stops may adjust the fare; any difference will be quoted before the change is confirmed.
In the unlikely event that the Company must cancel a confirmed booking due to unforeseen circumstances (vehicle breakdown, driver emergency, natural disaster, or force majeure), passengers will receive a full refund and, where possible, assistance arranging alternative transportation. The Company's liability in such cases is limited to the amount paid for the cancelled trip.
The Company is not liable for cancellations, delays, or service failures caused by circumstances beyond its reasonable control, including but not limited to: natural disasters, severe weather, road closures, government orders, pandemics, civil unrest, or acts of God.
Refunds, where applicable, will be processed using the original payment method, typically within 5 to 10 business days from the date the refund is approved, depending on your bank or card issuer. Refunds may be granted in the following circumstances:
Partial refunds may be issued at the Company's discretion for documented service failures. Refunds will not be issued for no-shows, last-minute cancellations, or dissatisfaction resulting from circumstances outside the Company's control.
All passengers are expected to conduct themselves in a respectful, safe, and lawful manner at all times while using our Services. The Company reserves the right to refuse service or terminate a ride in progress for violations of this policy, with no refund issued.
All passengers are required by Florida law to wear seatbelts at all times while the vehicle is in motion. Passengers who refuse to comply may be asked to exit the vehicle. The Company is not liable for injuries sustained as a result of a passenger's failure to use provided safety equipment.
Passengers under the age of 18 must be accompanied by a responsible adult at all times unless written parental consent has been provided. Florida law requires the use of child safety seats for children under the age and weight thresholds mandated by Florida Statute §316.613. Child safety seats must be requested and confirmed at the time of booking. The Company is not responsible for injuries sustained due to a passenger's failure to properly secure a child.
Passengers are responsible for their own luggage and personal belongings. The driver will make reasonable efforts to assist with luggage at pickup and drop-off. The Company is not liable for damage to luggage caused by improper packing. Oversized or excessive luggage must be disclosed at the time of booking; the Company reserves the right to refuse transport of items that compromise vehicle safety or capacity.
Pets are permitted only when arranged in advance and confirmed in writing. Pets must be transported in an approved carrier at all times. A pet transport fee may apply. Damage caused by pets will be charged to the passenger.
Passengers are expected to return the vehicle in the same condition in which it was received. The following cleaning and damage fees may be charged to the passenger's payment method:
Photographic documentation will be provided for all damage claims. By accepting these Terms, you authorize the Company to charge your payment method on file for any damage or cleaning fees incurred during your use of the Service.
Before an individual is authorized to accept rides on the Sylver platform, we obtain and review a local and national criminal background check — including a multi-state criminal records database search with primary-source validation and a search of the National Sex Offender Public Website — together with a driving history report, as required by section 627.748(12), Florida Statutes. We do not authorize any individual disqualified under that section, including for a felony or a driving-under-the-influence, reckless driving, hit-and-run, or fleeing-and-eluding offense within the past five years, a suspended or revoked license within the past three years, or a match on the National Sex Offender Public Website. Screening is repeated periodically.
Drivers on the Sylver platform are required to:
Drivers are not permitted to solicit additional payments, tips, or personal favors from passengers outside of the Company’s official channels, and may not solicit or accept street hails. If you experience conduct that does not meet these standards, please report it immediately through our app or website.
Sylver maintains a zero-tolerance policy on the use of drugs or alcohol by a driver while providing a prearranged ride or while logged on to our digital network. Any use or possession of, or being under the influence of, alcohol, illegal drugs, or any impairing substance during these periods is strictly prohibited and is grounds for permanent removal from the platform.
How to report a suspected violation. Open the Sylver passenger app, select the ride, choose Report an issue, and select Drugs or Alcohol. You may also write to info@sylverway.com or call the number in Section 26. Please tell us the ride, the date and time, and what you observed.
What happens when you report. On receiving a complaint that a driver violated this policy, we immediately suspend that driver’s ability to accept ride requests through our digital network. The suspension takes effect at once, before any human review, and remains in place while we investigate. Only a member of our team can lift it; the driver cannot. If the investigation substantiates the complaint, the driver is permanently removed from the platform. We keep records of these complaints and their outcomes as required by law.
Our platform includes real-time GPS tracking, estimated arrival times (ETAs), and in-app communication features. By using these features, you acknowledge and agree that:
You may share a tracking link for your trip with people you choose. Anyone holding that link can see the vehicle's live position, your itinerary, and trip status until the trip ends; share it only with people you intend to have that information. Guests you invite may also subscribe their own mobile number to SMS updates for that trip, and may unsubscribe at any time.
Separately, while a trip is active you may choose to share your own position with your assigned driver, so they can locate you at a busy pickup point such as an airport curb. This is optional, applies only to the trip in progress, and stops when the trip ends.
Sylvi is an optional AI assistant inside the passenger app that can answer questions about your own account — for example listing your recent trips, pulling up the details of one of them, summarising what you have spent, or emailing you a receipt. Sylvi is powered by a third-party AI model provided by Anthropic, PBC. The messages you send to Sylvi, and the account information needed to answer them, are transmitted to that provider to generate a reply. Do not send Sylvi information you would not want processed by a third-party service provider.
Using Sylvi is entirely optional; every function it offers is also available through the app's ordinary screens and through our support channels.
By opting in to SMS ride updates (during account creation or in App Settings), you consent to receive transactional text messages related to your active rides. These messages are limited to live driver updates during your ride, including:
SMS messages are sent at the driver's discretion based on ride circumstances. Message frequency varies by ride activity — typically 1 to 4 messages per ride. Standard message and data rates may apply. You may opt out at any time by replying STOP to any message, toggling off SMS Ride Updates in the app, or contacting us. Reply HELP for assistance.
SMS also serves as a fallback notification method for rides where push notifications are unavailable, including rides booked without an account or rides where push notifications have been disabled in App Settings.
Elite Safe Ride LLC does not send booking confirmations, marketing messages, or promotional offers via SMS. Booking confirmations are delivered via email and in-app inbox. Promotional communications are sent via email only, with separate consent.
Push notifications are the primary channel for real-time ride updates and include:
You may enable or disable push notifications at any time in App Settings. Disabling push notifications does not affect your ability to book rides, but you may miss time-sensitive updates. When push is disabled, SMS serves as a fallback for critical ride updates if SMS opt-in is active.
We send transactional emails from the following addresses for specific purposes:
Transactional emails (booking confirmations, receipts, verification codes) are required for service delivery and cannot be opted out of while maintaining an active account. Marketing and promotional emails require separate consent and include an unsubscribe option in every message.
Communications between passengers and drivers via our platform may be routed through proxy numbers and may be monitored or recorded for quality assurance, dispute resolution, training, and safety purposes, to the extent permitted by applicable law. By using these communication features, you consent to such monitoring and recording.
Automobile liability insurance for rides arranged through a transportation network company is governed by section 627.748(7), Florida Statutes, which sets different minimum coverages for two distinct periods:
Insurance meeting these requirements must be in force — maintained by the Company, by the driver, or by a combination of the two — for every prearranged ride arranged through the Sylver platform. We verify a driver’s coverage before authorizing them to accept rides and periodically thereafter, and a driver whose coverage lapses is removed from the platform until it is restored. Evidence of coverage is available on written request.
This coverage applies only to prearranged rides arranged through the platform. It does not apply while a driver is not logged on to our digital network; the driver’s own personal automobile policy governs then, and a personal automobile policy generally does not cover driving for compensation.
To the maximum extent permitted by applicable law, Elite Safe Ride LLC, its officers, managers, members, employees, agents, and contractors shall not be liable for:
In no event shall the Company's total aggregate liability for any claim arising from or related to these Terms or the Services exceed the total fare paid by the passenger for the specific trip that gave rise to the claim.
You acknowledge that ground transportation inherently involves certain risks. By using our Services, you assume all risks ordinarily associated with personal transportation, including but not limited to risks arising from road and traffic conditions, weather, and the actions of third parties.
Following each trip, passengers may be invited to rate and review their driver and overall service experience. You agree that:
Driver ratings are used internally to maintain service quality standards. Sustained low ratings may result in driver deactivation. Passengers who provide false or retaliatory reviews may have their accounts suspended.
Elite Safe Ride LLC is not responsible for items lost, left, or forgotten in a driver’s vehicle. Drivers are required to report found property to the Company promptly, and you may also report a lost item yourself from the Lost & Found section of the passenger app. Doing so opens a case and allows you to correspond directly with our dispatch team about its recovery and return.
Reasonable efforts will be made to facilitate the return of found items; however, the Company does not guarantee recovery. Items not claimed within 30 days may be donated or disposed of. A retrieval fee may be charged for the return of found items.
Sylver does not tolerate discrimination. Neither Elite Safe Ride LLC nor any driver on our platform may refuse a ride, cancel a ride, or provide different service to a rider on the basis of race, color, national origin, religion, sex, gender identity, sexual orientation, marital status, age, disability, or any other characteristic protected by law, or on the basis of the destination of the ride. Drivers are required to comply with all applicable laws regarding the transportation of riders with disabilities, and this policy is a condition of remaining on the platform. Violations may be reported by the means described in Section 10.3, and are grounds for permanent removal.
Service animals are always welcome, at no additional charge. Drivers may not refuse a rider accompanied by a service animal and may not impose a fee, a cleaning charge, or any other condition because of the animal. Refusing a service animal violates both the law and these Terms, and results in removal from the platform. Service animals are distinct from pets, which are covered by Section 8.6.
We do not impose any additional charge for providing service to a person with a physical disability because of that disability. Riders with mobility impairments or other accessibility needs are encouraged to tell us when booking so we can match a suitable vehicle. Vehicles on our platform are owned by individual drivers, and wheelchair-accessible vehicles are not available in every class or at every hour; requests should be made in advance and are subject to availability. Where we cannot meet a request, we will tell you promptly rather than leave you waiting.
All content on our website, application, and related platforms — including logos, trademarks, text, images, software, and design elements — is the exclusive property of Elite Safe Ride LLC or its licensors. You may not reproduce, distribute, modify, display, or use any Company intellectual property without prior written consent.
Your use of our Services is also governed by our Privacy Policy, which is incorporated herein by reference. By using our Services, you consent to the collection, processing, and use of your personal data as described in our Privacy Policy.
You agree to defend, indemnify, and hold harmless Elite Safe Ride LLC and its officers, managers, members, employees, agents, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
The Company reserves the right to suspend or permanently terminate your account and/or access to Services at any time, with or without notice, for:
Termination of your account does not relieve you of any outstanding financial obligations to the Company.
In the event of any dispute, claim, or controversy arising out of or related to these Terms or the Services, you agree to first contact the Company at info@sylverway.com and make a good-faith effort to resolve the matter informally within 30 days.
If informal resolution fails, any remaining dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in Broward County, Florida. The arbitrator's decision shall be final and binding. You waive any right to participate in class action litigation or class-wide arbitration.
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending resolution of a dispute.
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law provisions. To the extent judicial proceedings are necessary, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Broward County, Florida.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.
These Terms, together with the Privacy Policy, the Cancellation & Refund Policy, and any supplemental terms incorporated by reference, constitute the entire agreement between you and Elite Safe Ride LLC with respect to your use of the Services, and supersede all prior agreements, understandings, and representations.
No waiver by the Company of any right or provision of these Terms shall be deemed a further or continuing waiver of that right or provision. A failure by the Company to enforce any provision shall not constitute a waiver unless acknowledged in writing.

Elite Safe Ride LLC reserves the right to modify these Terms at any time. Material changes will be communicated via our website or application with a revised effective date. Continued use of the Services following notice of changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
